Content Provider Agreement

1. Introduction

This Content Provider Agreement ("Agreement") is between LiveCamNetwork.net LLC ("Company," "we," "our," or "us") and the individual or entity ("Content Provider," "Influencer," "you," or "your") who registers as a content provider on our platform at livecamnetwork.net (the "Platform").

2. Eligibility and Registration

To become a Content Provider on our Platform, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Submit valid identification documents for age verification
• Complete our onboarding process
• Accept this Agreement and our Terms of Service

We reserve the right to reject or suspend any Content Provider account at our sole discretion.

3. Services Provided

As a Content Provider, you will:

• Create and manage a personal profile on our Platform
• Set your own availability for scheduled video calls
• Create call packages with your own pricing structure (subject to our platform guidelines)
• Conduct one-on-one video calls with customers who purchase your packages
• Maintain professional communication with customers

4. Commission Structure

Our standard commission structure is as follows:

• Content Provider: 60% of the net revenue from each video call package
• Platform Fee: 40% of the net revenue (which includes payment processing fees)

Commission rates may vary based on special promotions, your performance metrics, or custom agreements. Any changes to your specific commission rate will be communicated to you in writing.

5. Payment Terms

Payments to Content Providers will be processed as follows:

• Payments are calculated on a monthly basis
• Payment period runs from the 1st to the last day of each month
• Payments are released between the 1st and 10th of the following month
• Minimum payout threshold is $50 (amounts below this threshold roll over to the next payment period)
• Payments are made via Stripe Connect to your designated account
• You are responsible for providing accurate payment information and for any taxes on your earnings

6. Content Guidelines

As a Content Provider, you agree to adhere to our content guidelines:

• All content must comply with applicable laws and regulations
• You must not engage in or promote illegal activities
• You must respect intellectual property rights and not use copyrighted materials without permission
• You must not engage in discriminatory, harassing, or abusive behavior
• You must maintain professional conduct during all video calls
• You must not share or request personal contact information to circumvent our platform

Violation of these guidelines may result in immediate suspension or termination of your account, withholding of payments, and possible legal action.

7. Call Scheduling and Cancellations

As a Content Provider, you are expected to:

• Maintain accurate availability in your calendar
• Honor scheduled calls with customers
• Provide at least 24 hours notice for any necessary cancellations
• Notify us immediately of any technical issues preventing you from conducting calls

Repeated late cancellations or no-shows may result in penalties, including possible account suspension or termination.

8. Account Management

You are responsible for:

• Maintaining the security of your account credentials
• Updating your profile information as needed
• Setting and adjusting your availability calendar
• Managing your call packages, including pricing and descriptions
• Responding to customer inquiries in a timely manner

9. Technical Requirements

To provide quality video calls, you must have:

• A reliable high-speed internet connection (minimum 10 Mbps upload/download)
• A modern web browser (Chrome, Firefox, Safari, or Edge)
• A quality webcam and microphone
• Adequate lighting for clear video
• A private, quiet environment for conducting calls

10. Confidentiality

You agree to:

• Keep all customer interactions confidential
• Not share, record, or distribute any content from video calls without explicit written permission
• Protect any personal or sensitive information you may receive
• Not disclose proprietary information about our Platform or business operations

11. Term and Termination

This Agreement begins when you register as a Content Provider and continues until terminated by either party. Either party may terminate this Agreement at any time for any reason. Upon termination:

• You will no longer have access to the Content Provider features of the Platform
• Any pending calls will be cancelled and refunded to customers
• You will receive any outstanding payments according to our regular payment schedule
• You must cease representing yourself as affiliated with our Platform

12. Independent Contractor Status

You acknowledge that you are an independent contractor and not an employee, agent, or partner of LiveCamNetwork.net LLC. You are responsible for your own taxes, insurance, and business expenses.

13. Modifications to Agreement

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after such changes constitutes acceptance of the modified Agreement.
